Pre-incorporation requirement
To register a corporation under the CATSI Act. the Registrar must be satisfied that the pre-incorporation requirement was met.
For a new corporation
The pre-incorporation requirement for a new corporation is that at least 75% of people who will become members have agreed:
- to apply for registration
- to approve the rule book
- that all replaceable rules from the CATSI Act (and which aren’t covered in your rule book) will apply to the corporation
- who the directors will be
- who the contact person or secretary will be (small and medium corporations have a contact person; large corporations have a secretary).
You must provide us evidence with your application to register that the pre-incorporation requirement was met. Evidence could be as:
- a document listing the above points that is signed by at least 75% of the proposed members
- minutes from a pre-incorporation meeting with details of the resolution and a declaration from the chairperson that it was passed by at least 75% of the votes.
For an existing organisation transferring registration
The pre-transfer of registration requirement is that at least 75% of the votes by members at a meeting of the existing organisation agree to apply for registration (in other words, the members passed a resolution). This resolution needs to:
- authorise the applicant to apply for registration
- approve the proposed rule book (including agreeing to all replaceable rules being adopted)
- nominate the people who will become directors of the corporation, and
- nominate the person who will become the contact person or secretary, depending on whether the corporation expects to be small, medium or large in its first year.
You must provide evidence with your application to register that the pre-transfer of registration requirement was met. Evidence could be the minutes of the meeting of the existing organisation where at least 75% of the members voting passed the required resolution.
