Roles and responsibilities

There are several different ways people can be part of a corporation. 

Each role also comes with responsibilities. Some are set by the CATSI Act and some are set by other laws. Some are set by the corporation’s rule book or corporation policies. It’s important to know what you’re responsible for in your role.

Sometimes people have more than role, such as member directors. If you have more than one role, you need to be clear about which role you’re in when you say or do something. It’s like putting on a hat – you can’t wear 2 at once.

Directors have responsibilities as individuals, but they also have responsibilities as a group – ‘the board’.

Directors and secretaries are called ‘officers’ of the corporation and there are some rules for officers.
