Director records

Corporations must keep a record of directors’:

  • first and last names
  • former names
  • date and place of birth
  • home address and alternative address if they’re eligible to have one
  • director ID or note if they don’t have one.

Also keep a record of when a director:

  • consents to become a director
  • is appointed 
  • is reappointed
  • is no longer in the director role.

Notify ORIC of any changes to these records within 28 days of finding out.

Delegations

Directors can pass a resolution to delegate any of their powers to:

  • a committee of directors
  • a director
  • an employee of the corporation
  • any other person.

It’s a good idea – some corporations put rules in their rule books to require it – to put the delegation in writing setting out the delegation period and the delegated powers. 

These delegations are corporation records.

One of the powers directors often delegate is to lodge reports and other information with the Registrar.
