Removing a director

Members and directors have the power to remove a director. 

Removal by members

To remove a director, members must:

  1. Provide the corporation with a notice for a resolution to remove a director at least 21 days before the next general meeting (or AGM).
  2. Give the director concerned a copy of the notice as soon as possible.

The director has the right to give the corporation a written statement and speak at the meeting. 

This statement must be distributed to everyone who gets a notice of the meeting.

Removal by directors

Directors can only remove a fellow director if the director has failed to attend 3 or more directors’ meetings in a row, without a reasonable excuse.

Directors must give the director:

  1. a written notice 
  2. 14 days to object in writing.

If the director objects, they cannot be removed by the other directors alone. The removal must then be decided at a general meeting through a resolution.
